PJ or CLT misclassification risk: how Brazilian courts test a contractor arrangement

Paying a Brazilian specialist through their own company looks cheaper until a labour court reads the relationship as employment. Here is how that test works and where the risk collects.

A PJ contractor in Brazil is treated as a CLT employee when the relationship shows personal service, continuity, pay and subordination, the four elements drawn from CLT art. 3. Claims may be brought within two years of the relationship ending and can cover the previous five years, and STF Tema 1389 on the validity of PJ hiring is still undecided.

Section 1 / 7

What is the PJ or CLT question in Brazil?

It is the choice between engaging a Brazilian professional via a company they own, known as a pessoa jurídica (PJ), and employing them under the Consolidação das Leis do Trabalho (CLT, the labour code). The risk arises when a PJ contract describes a supplier relationship but the day-to-day reality matches employment.

Brazilians call the practice of moving employees onto PJ invoices pejotização. It is attractive on paper because the invoice carries no 13º salário, no holiday bonus, no FGTS deposits and no employer INSS. That saving is exactly what a labour court looks at when a former contractor claims they were an employee all along.

For a foreign company the question usually arrives early. A first hire in Brazil is often a single specialist who asks to invoice through a company, and the arrangement looks simple until the relationship lasts, grows and starts to resemble a job.

Section 2 / 7

How does the CLT define an employee?

Under CLT art. 3, a person counts as an employee when they work for an employer on a non-occasional basis, depend on it and are paid for the work. Art. 2 describes the employer as whoever bears the business risk and directs how the individual’s services are provided.

Labour courts break this into four elements and look for all of them in the facts.

  • Pessoalidade: the individual has to do the work personally, and a substitute is not acceptable.
  • Não eventualidade: the work is continuous and tied to the business’s normal needs, not a one-off job.
  • Onerosidade: there is payment in return for the service.
  • Subordinação: the business directs the individual, deciding tasks, hours, priorities and methods.

CLT art. 9 voids anything done to defraud the code’s protections. A contract labelled as a service agreement between two companies does not prevent a court from finding that one of the individuals involved was an employee. Read the code itself on Planalto, the federal legislation site.

Section 3 / 7

Which signs point towards employment in a PJ arrangement?

The more a PJ relationship looks like a job from the inside, the higher the misclassification risk. Subordination is usually the deciding element, since the other three are present in most long service contracts anyway.

  • A fixed monthly invoice for the same amount, regardless of what was delivered.
  • Set working hours, required attendance at internal meetings and approval of time off.
  • A line manager who assigns and reviews tasks, as with any staff member.
  • A company email address, job title and place in the organisation chart.
  • Exclusivity, formal or in practice, with no other clients.
  • A relationship with no end date that has already run for years.
  • A former employee re-engaged through a company to do the same work.

The last point has its own statutory rule. Lei 6.019/1974 sets an 18-month gap: its arts. 5-C and 5-D stop someone dismissed by a company from returning to serve that same company via a service-provider business before the period runs out. Converting a departing employee into a PJ supplier the following month runs straight into that quarantine.

Remote working does not take a relationship outside the test. A contractor who works from home in Recife for a company abroad can still be subordinate if the company sets the hours and directs the tasks, and the CLT has its own rules for remote employees under the teletrabalho articles 75-A to 75-F.

None of these signs decides a case alone. Courts weigh the whole picture, and a contract drafted to avoid the words above will not help if the working reality shows them.

Section 4 / 7

What does misclassification risk mean in money and time?

A worker whose PJ contract ends can file a claim in the Justiça do Trabalho (labour courts) for up to two years afterwards, and that claim can reach back five years. That window, set by CF art. 7º, XXIX, is what turns a long PJ relationship into a large contingent liability.

The cost of a finding is decided case by case, and there is no single statutory figure. A realistic risk estimate starts from what CLT employment would have cost over the period in question: the 13º salário for each year, a month of paid leave plus its one-third bonus, FGTS deposits at 8% of pay, and the employer’s social security contributions, which run at around 35.8% of pay including FGTS for a typical services company. A lawyer will also factor in interest and whatever further amounts a court could award, so ask a Brazilian labour lawyer to put a number on a specific arrangement.

There is also an administrative route. Labour inspectors can fine an employer R$ 3.000,00 for each worker it has failed to register (CLT art. 47); the amount drops to R$ 800,00 for micro and small businesses and doubles when the breach recurs. That fine is imposed by labour inspection and is separate from anything the worker claims in court.

The amounts involved are easier to picture with a worked salary. Our São Paulo cost example shows that a R$ 15.000,00 monthly salary carries R$ 71.600,00 of employer charges a year, which is the order of magnitude a five-year claim can build on.

A simple risk model makes the point. If a PJ supplier has invoiced R$ 15.000,00 a month for five years and you treat that invoice as the salary a CLT employee would have earned, FGTS deposits alone would have been R$ 16.000,00 a year, or R$ 80.000,00 over the period, before the 13º salário, the holiday bonus or any contributions are counted.

Section 5 / 7

What is STF Tema 1389 and why does it matter now?

Tema 1389 is a case before the Supremo Tribunal Federal (STF), ARE 1.532.603, that will decide how Brazilian courts treat the hiring of individuals through companies or as autonomous contractors. The judges had still not ruled on the substance when this article was checked on 25 September 2026.

The court is looking at three connected points: whether the labour courts are the right forum for these disputes, who carries the burden of proof, and whether hiring through a PJ or as an autonomous contractor is valid at all. A 2025 order from the STF froze such cases across the country; the court relaxed it on 18 June 2026 for the first-instance Varas do Trabalho and the regional TRTs, while cases at the Tribunal Superior do Trabalho (TST) remained frozen.

For an employer, the pending judgment means uncertainty in both directions. A decision could narrow the space for PJ arrangements, widen it, or move the disputes to a different court, and existing contracts would be judged under whichever rule emerges. The case record is on the STF portal, and the dedicated pejotização explainer follows the case in more depth.

While the case is pending, the sensible course is to review existing PJ relationships against the four CLT elements now, rather than waiting for a ruling. Keep a record of how each engagement actually works, including who sets hours, who approves leave and how invoices are calculated, since those facts will matter under any version of the eventual rule.

Section 6 / 7

How does moving a contractor onto a CLT contract change things?

A CLT contract gives the worker the rights the code sets out from day one, which narrows the gap between paperwork and working reality that a PJ claim relies on. It also brings the full employment cost onto the books, so the decision is partly a budget one.

For a hire made through Employer of Record Brazil, we take the legal-employer role as employer of record. We file the S-2200 admission event on eSocial before the first working day, log the contract on the worker’s digital CTPS inside the five business days that CLT art. 29 allows, and run payroll, FGTS and contributions from then on. A contrato de experiência (probation contract) of up to 90 days is available at the start under CLT art. 445.

The arrangement does not settle every question. No Brazilian law deals with the employer-of-record model by name; Lei 6.019/1974 covers temporary agency work and outsourcing, and under its outsourcing rules it is the provider that hires the worker, pays them and directs what they do. How your managers direct the person day to day is therefore worth reviewing with Brazilian counsel. Our explainer on using an employer of record for Brazil hires sets out which decisions stay with you and which sit with us.

On cost, the comparison is the PJ invoice against the full CLT figure plus from USD 560 fee for each employee monthly and the usual one-off set-up fee. A contractor who invoices R$ 15.000,00 a month would, as a CLT employee on the same gross salary, cost around R$ 271.600,00 a year in São Paulo before benefits, so agree the new gross salary as part of the move.

Timing matters when converting an existing contractor. Past PJ years remain inside the five-year window after the switch, so a conversion does not cancel exposure for the years that went before.

Section 7 / 7

When can a PJ contract still be the right structure?

A PJ contract fits best where the work is a defined project with a deliverable, the supplier controls how and when it is done, and the supplier has other clients. The further the arrangement sits from the four CLT elements, the lower the risk.

  • Pay for outputs or milestones, not for time in a seat.
  • Let the supplier set their own hours, tools and methods.
  • Keep the engagement time-limited, and end or restructure it if it becomes open-ended.
  • Avoid internal job titles, line management and inclusion in staff processes.
  • Do not re-engage a former employee through a company within 18 months of dismissal.

Review any PJ relationship once a year against these points, and again whenever the work changes shape. A specialist brought in for a three-month build who is still working full-time for the same team two years later has usually drifted into the pattern courts treat as employment.

Keep the paperwork consistent with the practice as well. Statements of work, invoices that reflect delivered milestones and correspondence that treats the supplier as an outside business all help show what the relationship was, although none of them outweighs how the work was really organised.

Q & A

Frequently asked

Q01What does PJ mean in a Brazilian contract?
A.PJ stands for pessoa jurídica, a legal entity. A PJ contract engages a professional through their own company, which invoices the client instead of receiving a salary.
Q02Which element matters most in a misclassification case?
A.Subordination is usually decisive, because personal service, continuity and pay are present in most long service contracts. Courts look at who directs the work, sets hours and approves time off.
Q03How long can a former PJ contractor wait before claiming?
A.Up to two years after the relationship ends, and the claim can cover the five years before it is filed, under CF art. 7º, XXIX.
Q04Has the STF decided whether PJ hiring is valid?
A.No ruling on the merits had been issued by 25 September 2026. Since 18 June 2026, first-instance courts and TRTs may hear these cases again, but the TST’s cases remain on hold.
Q05Can I re-engage a former employee as a PJ supplier?
A.Only once 18 months have passed since the dismissal, where the person would supply services through a company; Lei 6.019/1974 sets that quarantine in its articles 5-C and 5-D.
